IMPORTANT NOTICE: THESE TERMS CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO INDEMNIFY US. PLEASE READ THEM CAREFULLY.
1. ACCEPTANCE AND MODIFICATIONS
1.1. Binding Agreement
These Terms of Service (the "Terms") constitute a legally binding agreement between MiArtMedia Ltd. ("Company", "we", "us", or "our") and the entity or organization ("Client" or "you") accessing or using the SynaNoteAI.com platform, including any associated software, APIs, mobile applications, and AI-generated outputs (collectively, the "Platform").
1.2. Authority
By creating an account or using the Platform, you represent and warrant that:
(a) You are an authorized representative of the Client with the authority to bind the Client to these Terms;
(b) The Client is a duly organized and validly existing business entity; and
(c) The Client operates within the automotive service industry (e.g., dealership, service center, warranty department).
This Platform is a Business-to-Business (B2B) service and is not intended for consumer use.
1.3. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or a prominent notice on the Platform. Your continued use of the Platform after the Effective Date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform immediately.
2. SERVICE DESCRIPTION AND LIMITATIONS
2.1. The Platform
SynaNoteAI.com is an AI-powered operations platform designed to assist automotive service organizations with documentation, workflow management, and narrative generation. The Platform uses artificial intelligence ("AI") technologies, including third-party Large Language Models (LLMs), to process inputs and generate text ("AI Content").
All AI tools on the Platform are designed and instructed exclusively to generate structured summaries and standardized narratives of work described or performed by the user — such as warranty-style 3C (Complaint, Cause, Correction) job stories, maintenance analyses, and service communications. No AI tool on the Platform is designed, instructed, or intended to reproduce, extract, quote, or republish source material submitted by users. All AI-generated outputs are by design transformative summaries in a different form, structure, and purpose than any content submitted as input. MiArtMedia Ltd. does not operate as a publisher, reproducer, or distributor of user-submitted content.
2.2. "As-Is" Service
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties regarding the uptime, availability, accuracy, or reliability of the Platform.
2.3. No Professional Advice
The Platform and its AI Content are for informational and administrative assistance purposes only. The Platform does NOT provide:
(a) Legal advice;
(b) Certified mechanical or engineering advice;
(c) Binding warranty coverage determinations; or
(d) Professional insurance adjustments.
You serve as the final arbiter of all documentation and must rely on your own professional judgment and certified personnel for all vehicle service decisions.
2.4. Beta Features
We may release "Beta" or "Experimental" features. These features may be unstable, may contain errors, and may be withdrawn at any time. We accept no liability for any usage of Beta features.
3. ACCOUNT REGISTRATION AND ACCESS
3.1. Account Hierarchy
Access to the Platform is managed via an organizational account ("Client Account"). The Client is responsible for designating "Super Admins" who manage individual user access (e.g., Technicians, Advisors, Managers).
3.2. Security
You are responsible for maintaining the confidentiality of all login credentials. You are strictly prohibited from sharing credentials between users. You accept full responsibility for all activities that occur under your Client Account, whether authorized or not.
3.3. Right to Terminate
We reserve the right to refuse registration, suspend, or terminate potential or existing accounts at our sole discretion, including for competitive reasons or perceived risks to our Platform.
4. ACCEPTABLE USE POLICY
4.1. Prohibited Activities
You agree NOT to:
(a) Use the Platform for any illegal purpose or in violation of any local, provincial, federal, or international laws;
(b) Input Personal Identifiable Information (PII) of vehicle owners unless strictly necessary and in compliance with privacy laws;
(c) Reverse engineer, decompile, or attempt to derive the source code of the Platform;
(d) Use the Platform to build a competing product or service;
(e) Use automated means (bots, scrapers) to access the Platform; or
(f) Upload viruses, malware, or harmful code.
4.2. Sanctions and Export Control
You represent that you are not located in, or a national or resident of, any country subject to Canadian or U.S. trade sanctions or embargoes.
4.3. Third-Party Intellectual Property in User-Submitted Content
(a) Your Representation and Warranty. By submitting any content to the Platform — including but not limited to vehicle repair histories, diagnostic data, DTC codes, maintenance records, job procedures, manufacturer or OEM documentation excerpts, technical service bulletin (TSB) text, DMS-exported records, ALLDATA, Mitchell1, Identifix, or other subscription-database content, and any other third-party materials — you represent and warrant that: (i) you hold all necessary rights, licences, or permissions to submit such content for AI processing; (ii) doing so does not violate any copyright, licence agreement, trade secret, confidentiality obligation, or terms of service of any third party; and (iii) you are solely responsible for determining whether your submission of such content is lawful and permitted under all applicable agreements.
(b) Transient Processing Only. The Platform operates as a transient conduit. User-submitted content is transmitted in real time to Google's Gemini API solely to generate an AI response and is not permanently stored, indexed, reproduced, redistributed, or published by MiArtMedia Ltd. This transient transmission model does not constitute reproduction, distribution, or communication of a work to the public under the Copyright Act (Canada) or any equivalent statute. MiArtMedia Ltd. exercises no editorial control over the content of prompts and takes no active steps to select, modify, or curate user-submitted material.
(c) No Liability for Third-Party IP Claims. MiArtMedia Ltd. accepts no liability whatsoever for any claim, demand, action, or proceeding brought by any third party — including OEMs, DMS vendors, data providers, publishers, or subscription-database operators — arising out of or related to content submitted by you or your Account Users. This includes claims of copyright infringement, licence breach, misappropriation of trade secrets, breach of confidentiality, or violation of any third party's terms of service. You acknowledge that we have no practical means to screen prompt content for third-party IP compliance in real time, and that responsibility for compliance rests entirely with you as the submitting party.
5. AI-GENERATED CONTENT DISCLAIMERS (CRITICAL)
5.1. No Guarantee of Accuracy
ARTIFICIAL INTELLIGENCE IS PROBABILISTIC AND FALLIBLE. You acknowledge that AI Content generated by the Platform may be inaccurate, incomplete, misleading, or "hallucinated."
5.2. Mandatory Verification
YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL AI CONTENT. You must correctly edit, validate, and approve all AI-generated text before using it in:
(a) Warranty claims;
(b) Customer invoices;
(c) Service records; or
(d) Legal or compliance documents.
5.3. Liability Exclusion
WE EXPLICITLY DISCLAIM ALL LIABILITY FOR:
(a) Rejected warranty claims resulting from AI-generated narratives;
(b) Misdiagnoses or service errors based on Platform suggestions;
(c) Customer disputes arising from AI-generated communications; and
(d) Any reliance placed on AI Content by you or any third party.
6. INTELLECTUAL PROPERTY
6.1. Platform Ownership
MiArtMedia Ltd. retains all right, title, and interest in and to the Platform, including its code, design, effective user interface, proprietary AI workflows, and documentation.
6.2. User Content
You retain ownership of the data and documents you upload to the Platform ("User Data"). You grant us a worldwide, non-exclusive, royalty-free license to use, process, and reproduce User Data solely to provide the Service, improve our AI models (on an aggregated and anonymized basis), and comply with legal obligations.
6.3. Feedback
If you provide feedback or suggestions, we may use them without any obligation or compensation to you.
7. PAYMENT TERMS AND BILLING
7.1. Fees
You agree to pay the fees specified in your selected subscription plan or order form. All fees are in the specific currency stated at checkout (CAD or USD) and are non-refundable unless otherwise required by law.
7.2. Usage-Based Billing
Certain features (e.g., AI token generation) may be billed on a usage basis. You are responsible for all usage accrued under your Client Account, including usage by unauthorized users if you failed to secure credentials.
7.3. Automatic Renewal
Subscriptions automatically renew for the same term unless cancelled at least 30 days prior to the renewal date.
7.4. Late Payments
Overdue amounts may be subject to a late charge of 1.5% per month (18% per annum) or the maximum permitted by law, whichever is less. We reserve the right to suspend access immediately for non-payment.
8. DATA AND PRIVACY
8.1. Compliance
We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws. Please review our [Privacy Policy](/privacy) for details on how we collect, use, and protect data.
8.2. Data Residency and Third-Party AI Processing
You acknowledge that your data may be processed and stored in Canada, the United States, or other jurisdictions where our third-party infrastructure and AI providers operate. Our current AI provider is Google LLC (Gemini API), and our database and authentication provider is Supabase Inc., both of which operate infrastructure in the United States. You consent to this cross-border transfer as a necessary condition of using the Platform.
Once user-submitted content is transmitted to Google's Gemini API, it is outside MiArtMedia Ltd.'s control and is processed exclusively under Google's own terms of service, privacy policies, and data handling practices. MiArtMedia Ltd. makes no representations or warranties regarding how Google processes, stores, uses, or retains data after transmission, and accepts no liability for Google's data handling practices regardless of any representations Google makes in its own policies. You are solely responsible for reviewing and accepting Google's applicable terms before using the Platform.
8.3. Data Retention
We are not a data archiving service. We do not permanently store the full text of prompts submitted to AI tools or the AI Content generated in response. You are solely responsible for saving, copying, and maintaining your own backups of all AI-generated outputs and compliance-critical records (including warranty narratives, repair orders, and customer communications).
8.4. Prohibited Data Inputs and Prompt Content Responsibility
You agree not to input into the Platform any of the following categories of sensitive personal information: Social Insurance Numbers, government-issued identification numbers, health or medical records, financial account or payment card numbers, passwords or authentication credentials, or personal information about individuals under the age of 18. We accept no liability for any harm arising from your violation of this prohibition.
More broadly, you are solely and entirely responsible for all content you or your Account Users submit as prompts to any AI tool on the Platform. MiArtMedia Ltd. has no ability to screen, moderate, or assess prompt content for accuracy, legality, third-party IP compliance, confidentiality obligations, or any other consideration prior to transmission. The act of transmitting a prompt does not constitute any endorsement, approval, or assumption of liability by MiArtMedia Ltd. with respect to that content. All consequences — legal, regulatory, contractual, or otherwise — arising from the content of prompts submitted are your sole responsibility.
9. TERM AND TERMINATION
9.1. Term
This agreement remains in effect as long as you have an active subscription or use the Platform.
9.2. Termination by Us
We may terminate or suspend your access immediately, without notice, for:
(a) Violation of these Terms;
(b) Non-payment; or
(c) Compliance with a legal order.
9.3. Effect of Termination
Upon termination, your right to use the Platform ceases immediately. We will retain your data for 30 days following termination to allow for export or recovery requests, after which we may delete your User Data. You are responsible for exporting any records you require before requesting or permitting termination.
10. LIMITATION OF LIABILITY
10.1. Exclusion of Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MIARTMEDIA LTD., ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR THIRD-PARTY PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
10.2. Liability Cap
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless MiArtMedia Ltd. and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with:
(a) Your access to or use of the Platform;
(b) Your violation of these Terms;
(c) Your User Data or AI Content generated by you;
(d) Any professional negligence or reliance on Platform outputs by you or your staff;
(e) Your violation of any third-party right or any law/regulation; or
(f) Any claim by a third party — including OEMs, DMS vendors, data subscription providers, publishers, or any other rights holder — arising from content you or your Account Users submitted to the Platform, including any allegation of copyright infringement, trade secret misappropriation, licence breach, or breach of a third party's terms of service in connection with user-submitted prompt content.
12. DISCLAIMERS OF WARRANTIES
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND DATA ACCURACY. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
13.2. Jurisdiction
Any dispute arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts located in Calgary, Alberta, and the parties hereby submit to the personal jurisdiction of such courts.
13.3. Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14. GENERAL PROVISIONS
14.1. Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Platform and supersede all prior agreements.
14.2. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.3. No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.4. Third-Party Beneficiaries
There are no third-party beneficiaries to these Terms.
14.5. Force Majeure
We shall not be liable for any complete or partial performance failure due to causes beyond our reasonable control, including internet outages, AI provider failures, strikes, or acts of God.
15. CALIFORNIA AND INTERNATIONAL NOTICE
15.1. Quebec
For Clients and Account Users located in Quebec, this Platform is currently available in English only. A French-language version is in preparation as required under Quebec's Charter of the French Language (Bill 101).
15.2. International Users
The Platform is designed and operated for Canadian and North American businesses. We make no representation that the Platform is appropriate or available for use in jurisdictions outside Canada and the United States. If you access the Platform from outside these jurisdictions, you do so at your own initiative and are responsible for compliance with local laws.
